This ImmenseCommunity Instructor & Creator Agreement (the "Agreement") is a DRAFT prepared for owner and legal-counsel review. It carries no operative Effective Date: the date stated above is only when this draft text was prepared, and this Agreement becomes capable of being signed by any Creator only once it has been approved, published as a controlled document with its own approved PDF, and the Production signing gate described in Schedule F has been affirmatively enabled by the owner.

When approved and executed, this Agreement is between Immense Click ("Immense Click", "we", "us" or "our") and the individual or entity applying to become, or already approved as, an ImmenseCommunity instructor and creator ("Creator", "Instructor", "you" or "your"). It governs a Creator’s participation in ImmenseCommunity under the Financial Aid / Revenue Share commercial route described in Schedule B.

This Agreement incorporates, and is read together with, the following schedules, each forming part of one single contractual package:

  • Schedule A — Commercial Election & Instructor Order Form (completed individually at signing; not published publicly).
  • Schedule B — Revenue Share & Settlement Schedule.
  • Schedule C — Instructor, Course & Community Standards.
  • Schedule D — Community / Acceptable Use / Moderation Terms.
  • Schedule E — Data & Privacy Addendum.
  • Schedule F — Electronic Execution Certificate.

This Agreement also incorporates by reference Immense Click’s general Terms of Service, Privacy Policy, Refund Policy and Community Standards (together, the "General Policies"), published at immenseclick.com/legal. Where this Agreement and a General Policy conflict on a subject this Agreement expressly addresses, this Agreement controls for Creator commercial participation; the General Policies control for every other subject.

1. Parties and Effective Date

The parties are Immense Click and the Creator identified in Schedule A. This Agreement becomes effective for a particular Creator only on the date both signatures described in Schedule F are complete: the Creator’s electronic signature and Immense Click’s countersignature (the "Execution Date"). A Creator’s own signature alone does not make this Agreement effective — see Section 20.

2. Definitions

  • "Community" means an ImmenseCommunity space the Creator operates or contributes to under this Agreement.
  • "Creator Content" means courses, lessons, live sessions, posts, resources and other material the Creator uploads, records or presents through ImmenseCommunity.
  • "Member" means an individual who joins a Community as a paying or non-paying participant.
  • "Eligible Creator Transaction" has the meaning given in Schedule B.
  • "Net Collected Creator Revenue" or "NCCR" has the meaning given in Schedule B.
  • "Financial Aid / Instructor Approval Process" means the application, review, live interview and course/content assessment process described in the Community instructor application workflow, distinct from and in addition to signing this Agreement.
  • "Settlement Statement" means the itemised statement described in Schedule B.
  • "Taxation Control Plane" means Immense Click’s internal configuration that determines whether, when and how tax is collected on platform transactions, referenced in Section 22 and Schedule B.

3. Appointment and Platform Participation

Subject to the Financial Aid / Instructor Approval Process and to Immense Click’s countersignature, Immense Click permits the Creator to operate or contribute to one or more Communities and to offer Creator-owned monetisation described in Schedule B through Immense Click’s commerce system. This is a participation right in Immense Click’s platform, not a franchise, licence to operate a competing platform, or transfer of any platform asset.

4. Independent Contractor Relationship

The Creator participates as an independent business, not as an employee, worker, partner, joint venturer or agent of Immense Click.

  • No employment. Nothing in this Agreement creates an employer-employee relationship, and the Creator is responsible for their own tax, social security and labour-law status in their own jurisdiction.
  • No partnership or joint venture. Neither party is the other’s partner or joint venturer, and neither shares in the other’s losses as such.
  • No agency authority to bind Immense Click. The Creator has no authority to make representations, incur obligations or enter contracts on Immense Click’s behalf, and must not represent otherwise to Members or third parties.

5. Instructor Eligibility, Application and Approval

Eligibility to sign this Agreement, and the commercial rights it describes becoming operative, both depend on the Financial Aid / Instructor Approval Process. Signing this Agreement does not itself guarantee approval, and approval does not itself constitute execution of this Agreement — each is a distinct condition, and both must be satisfied. See Section 20 and Schedule F.

6. Community Ownership and Platform Status

Immense Click owns and operates the ImmenseCommunity platform, including its infrastructure, membership records, moderation systems and commerce system. A Creator’s operation of a Community is a licensed participation on that platform, not ownership of the platform itself. The Creator may build goodwill and a following within their Community, but Immense Click’s platform-level authority described in Schedule D (including safety suspension) is not thereby limited.

7. Member Relationships

Members join ImmenseCommunity subject to Immense Click’s Terms of Service and Community Standards. A Creator’s relationship with Members is conducted through the platform and does not make the Creator the Member’s employer, agent or the operator of the Member’s account. Member Data obligations are addressed in Section 15.

8. Services Supplied by Immense Click

Immense Click supplies the ImmenseCommunity platform, including hosting, membership and payment infrastructure, moderation tooling, notification delivery, and the commerce and settlement systems described in Schedule B, each operated as described in Immense Click’s general Terms of Service and subject to Section 19 (Platform Availability and Third-Party Providers).

9. Creator Obligations; Content, Course and Live-Session Obligations

The Creator is responsible for the accuracy, legality, quality and delivery of their Creator Content, courses and live sessions, in line with Schedule C. This includes:

  • presenting accurate claims about outcomes, credentials and results;
  • delivering scheduled live sessions or promptly rescheduling and notifying affected Members;
  • maintaining reasonable course and content quality and responding to Member support questions within the Community;
  • cooperating with Immense Click’s course/content review described in Schedule C.

10. Intellectual Property

The Creator retains ownership of their original Creator Content. Immense Click does not acquire ownership of Creator Content by virtue of this Agreement.

The Creator grants Immense Click a limited, non-exclusive, worldwide, royalty-free licence, sublicensable only to the infrastructure and service providers reasonably necessary to operate the platform (for example, video hosting and transcoding providers), to host, store, encode and transcode, display, stream, deliver, format and technically adapt, and otherwise operate the platform in respect of, Creator Content. This licence exists solely to operate ImmenseCommunity as the Creator has configured their Community and course offerings, and does not grant Immense Click any right to exploit Creator Content for unrelated advertising or for any use outside normal platform operation.

Marketing or promotional use of Creator Content outside normal platform operation (for example, featuring a course in an Immense Click marketing campaign) requires the Creator’s separate, specific consent, which may be withdrawn prospectively for future use.

The Creator warrants that they own or hold all rights, licences and consents necessary for the material they upload, and that it does not infringe any third party’s intellectual property, privacy or other rights.

11. Third-Party Rights

This Agreement does not confer any right or remedy on any person who is not a party to it, except to the extent an infrastructure or service provider is expressly named as a permitted sublicensee under Section 10.

12. Confidentiality

Each party will keep confidential any non-public commercial, technical or operational information disclosed by the other in connection with this Agreement, and use it only to perform this Agreement, except where disclosure is required by law, by a regulator, or to enforce this Agreement.

13. Data, Privacy and Security

Data handling under this Agreement is governed by Immense Click’s Privacy Policy and by Schedule E (Data & Privacy Addendum), which this Section incorporates. The Creator must maintain reasonable account and device security practices and promptly report any suspected compromise of their account.

14. Member Data

The Creator does not own Member personal data. Member contact details and other personal data reachable through the Community exist to support permitted Community purposes only. The Creator must not:

  • sell Member data to any third party;
  • scrape or bulk-export Member data beyond what the platform’s ordinary interfaces provide for permitted Community purposes;
  • harvest Member contact lists for use outside the Community;
  • use Member contact details for unauthorised or off-platform marketing.

15. Community Standards and Moderation

The Creator’s Community, courses and live sessions are subject to Schedule C (Instructor, Course & Community Standards) and Schedule D (Community / Acceptable Use / Moderation Terms), each of which this Section incorporates.

16. Suspension, Investigations, Fraud and Abuse

Immense Click may investigate suspected fraud, abuse or material breach of this Agreement or the General Policies, and may suspend a Creator’s Instructor status, Community access, or a specific commercial capability, proportionately to the concern, pending investigation. Suspension, investigation and their consequences are addressed further in Schedule D and Section 28 (Termination). Section 29 addresses what happens to already-earned amounts.

17. Refund Cooperation and Chargebacks

The Creator agrees to cooperate with Immense Click’s handling of Member refund requests, disputes and payment-processor chargebacks relating to their Community, courses or events, including by providing information reasonably requested to evaluate a claim. Refunds, partial refunds, chargebacks and reversals affect the Creator’s revenue share as described in Schedule B.

18. Platform Availability and Third-Party Providers

Immense Click will operate the platform with reasonable care but does not guarantee uninterrupted availability. The platform depends on third-party infrastructure and payment providers; Immense Click is not liable for an outage or failure caused by a third-party provider outside its reasonable control, without prejudice to Immense Click’s own obligations under Section 8.

19. Commercial Terms Incorporation

The Creator’s specific commercial election, and the numeric revenue-share terms that apply to them, are stated in Schedule A (completed individually at signing) and Schedule B (the standard, publicly-incorporated Revenue Share & Settlement Schedule). Schedule A never appears publicly; Schedule B is published as part of this controlled document. A change to the percentage, basis or material settlement economics in Schedule B requires a new, effective-dated Commercial Schedule version, the Creator’s acceptance of it, and Immense Click’s countersignature, exactly as described in Schedule B’s own "No Silent Rate Change" provision — never an ordinary administrative edit.

20. Settlement

Settlement of amounts due to the Creator is governed by Schedule B, including the settlement period, the target settlement date, and the itemised Settlement Statement the Creator will receive. No payout infrastructure is active as of the date this draft was prepared; settlement described in Schedule B becomes operative only once Immense Click activates it.

21. Tax Responsibilities and Withholding

Immense Click is not currently collecting tax on ImmenseCommunity transactions, and the Taxation Control Plane governing this is currently off; this Agreement does not state that Immense Click currently charges GST or any other tax, and no tax rate is fixed by this Agreement. Taxes, if and when lawfully applicable and configured through the Taxation Control Plane, will be dealt with according to applicable law and the effective tax configuration at that time, and any tax collected from a customer is excluded from Net Collected Creator Revenue as described in Schedule B.

The Creator remains solely responsible for their own tax obligations arising from Creator income under this Agreement, subject to any deduction, withholding or remittance Immense Click is required by applicable law to make. This Agreement does not identify a specific withholding provision of Indian tax law as applicable, because that determination has not yet been made or verified — see the legal review checklist referenced at the top of this document.

22. Records and Audit / Cooperation Rights

Immense Click will keep records of Eligible Creator Transactions, settlements and this Agreement’s execution evidence for the period stated in the legal review checklist once an owner/counsel decision on retention has been recorded. The Creator agrees to reasonable audit and information-cooperation requests proportionate to the volume of their platform transactions, limited to what is necessary to verify amounts under Schedule B.

23. Representations and Warranties

Each party represents that it has the right and authority to enter this Agreement. Where a Creator signs on behalf of an entity, the individual signing represents that they are authorised to bind that entity, as recorded in Schedule F. The Creator represents that the information in Schedule A and in their Financial Aid / Instructor application is accurate and not misleading.

24. Disclaimers

Except as expressly stated in this Agreement or the General Policies, the platform is provided on an "as available" basis and Immense Click disclaims warranties to the extent permitted by applicable law. Nothing in this Section excludes a warranty or liability that cannot lawfully be excluded.

25. Indemnity

The Creator agrees to indemnify Immense Click against third-party claims, losses and reasonable costs arising from the Creator’s material breach of Section 10 (Intellectual Property), Section 14 (Member Data) or Schedule C (Standards), to the extent caused by the Creator’s own acts. This indemnity does not extend to claims arising from Immense Click’s own breach of this Agreement or negligence.

26. Limitation of Liability

A numerical cap on either party’s liability under this Agreement has not been set. This is an OWNER / LEGAL COUNSEL DECISION REQUIRED item: no cap is fabricated here, and this Section will state one only once the owner and legal counsel have approved a specific figure and its currency, scope and exceptions. Nothing in this Agreement is intended to exclude liability that cannot lawfully be excluded under applicable law.

27. Term and Termination

This Agreement continues from the Execution Date until terminated under this Section. Either party may terminate for the other’s uncured material breach after reasonable written notice. Immense Click may terminate for the fraud, abuse or safety grounds described in Schedule D. The Creator may withdraw a signed-but-not-yet-approved Agreement at any time before Immense Click’s countersignature.

28. Consequences of Termination; Existing Member Wind-Down

On termination, the Creator’s ability to create new Community offerings ends, and the parties will cooperate on a reasonable wind-down for existing Members (for example, access to material already purchased). Already-earned Creator Share is not forfeited merely because this Agreement terminates, subject to lawful refunds, chargebacks, fraud findings and any set-off this Agreement or Schedule B expressly authorises, or a legal hold. See Section 29 (Survival) and Schedule B’s "No Unilateral Confiscation" provision.

29. Survival

Sections covering Intellectual Property, Confidentiality, Data/Privacy, Member Data, Records and Audit, Representations and Warranties, Disclaimers, Indemnity, Limitation of Liability, Governing Law and Dispute Resolution, and this Survival Section, survive termination, together with any settlement obligation for amounts already earned before termination.

30. Changes and Amendments

Immense Click may publish a new version of this Agreement or of Schedule B. A new version applies to a Creator only prospectively and only once the Creator has accepted it and Immense Click has countersigned it, exactly as described in Schedule B. An already-executed Agreement is never edited in place; a change is always a new, separately signed version, and the superseded version is preserved for reference.

31. Notices

Notices to Immense Click under this Agreement should be sent to connect@immenseclick.com, or to Immense Click, Narasaraopet, Guntur, Andhra Pradesh 522601, India, matching the notice details already stated in Immense Click’s Terms of Service. Notices to the Creator will be sent to the contact details on their ImmenseCommunity account.

32. Assignment

The Creator may not assign this Agreement without Immense Click’s prior written consent. Immense Click may assign this Agreement in connection with a merger, reorganisation, or sale of substantially all of the relevant business, on notice to the Creator.

33. Severability, Waiver, Entire Agreement and Order of Precedence

If a provision of this Agreement is found unenforceable, the remaining provisions continue in effect. A party’s failure to enforce a provision is not a waiver of it. This Agreement, together with Schedules A through F and the General Policies it incorporates, is the entire agreement between the parties on its subject and supersedes prior discussions on that subject. Where this Agreement conflicts with a schedule on a matter the schedule specifically governs, the schedule controls; where this Agreement conflicts with a General Policy, Section-19-incorporated commercial terms in this Agreement control for Creator commercial participation.

34. Governing Law and Dispute Resolution

This Agreement is governed by the laws of India, without prejudice to mandatory consumer rights that may apply in the Creator’s jurisdiction, matching the governing-law clause already stated in Immense Click’s Terms of Service. Where permitted by applicable law, courts having competent jurisdiction in Andhra Pradesh, India will have jurisdiction over disputes arising under this Agreement.

No arbitration clause, arbitral institution or seat is stated here, because none exists in Immense Click’s existing controlled legal documents; this Agreement deliberately does not introduce one. If the owner and legal counsel decide arbitration should apply to this Agreement, that decision belongs in Immense Click’s legal architecture generally, not invented uniquely for this document.

35. Electronic Contracting; Counterparts and Electronic Records

The parties intend this Agreement to be capable of formation and execution by electronic means, consistent with Section 10A of the Information Technology Act, 2000, and to be provable as an electronic record consistent with Section 63 of the Bharatiya Sakshya Adhiniyam, 2023. Schedule F describes the electronic execution mechanism and the evidence retained. This Agreement may be executed in electronic counterparts, each of which is treated as an original, together constituting one Agreement.

Schedule A. Commercial Election & Instructor Order Form

Schedule A is completed individually by each Creator at signing and is never published as part of this public document. It records, for that Creator only: the Creator’s legal name and contact details; whether they sign as an individual or on behalf of an entity (and if so, the entity’s name and the signatory’s capacity/title); the specific Community or Communities the election applies to; the Financial Aid / Instructor application or approved instructor-terms record the election is linked to; the agreement and commercial-schedule versions being accepted; and the timestamped record of the required acknowledgements described in Schedule F.

Schedule A does not itself set the revenue-share percentage or basis — those are fixed by Schedule B, which every Creator electing the Financial Aid / Revenue Share route accepts identically.

Schedule B. Revenue Share & Settlement Schedule

B.1 The Split

  • Platform Share — 15% of Net Collected Creator Revenue (1500 basis points).
  • Creator Share — 85% of Net Collected Creator Revenue (8500 basis points).

These figures are fixed as integers (basis points), never as a floating-point approximation, and never calculated client-side. Changing the percentage, the basis, or material settlement economics requires a new, effective-dated version of this Schedule, the Creator’s acceptance, and Immense Click’s countersignature — never an ordinary administrative edit ("No Silent Rate Change").

B.2 Net Collected Creator Revenue

Net Collected Creator Revenue ("NCCR") means amounts actually and successfully collected and settled in respect of Eligible Creator Transactions, less: taxes collected from customers; refunds and partial refunds; customer credits that reduce the collected consideration; chargebacks; and payment reversals. Payment-gateway, acquirer and processor fees, and other ordinary payment-processing costs Immense Click bears, do NOT reduce NCCR and are instead borne from Immense Click’s own Platform Share — they are never deducted before the 15/85 split is calculated.

B.3 Eligible Creator Transactions

Eligible Creator Transactions are approved Creator monetisation actually processed through Immense Click’s commerce system: Community membership fees, Creator-owned courses, Creator workshops, Creator events, and other Creator products Immense Click has expressly approved for that Creator. Eligible Creator Transactions exclude Immense Click-owned products, unrelated platform transactions, free enrolments, test transactions, fraudulent transactions, uncollected invoices, and failed payments.

B.4 Creator-Funded Discounts

Where a discount or coupon applied to a transaction is funded by the Creator, the customer consideration actually collected forms the NCCR basis for that transaction, before the deductions in Section B.2 above. For example, a listed price reduced by a Creator-funded coupon to a lower amount begins its NCCR calculation from that lower, actually-collected amount — the illustrative figures used to explain this concept are not production values and are never hardcoded in Immense Click’s settlement logic.

B.5 Platform-Funded Promotions

Where Immense Click independently funds a promotion, the Creator does not automatically bear that subsidy: the ledger records a platform-funded adjustment distinct from a Creator-funded discount, so the Creator’s economics can preserve the approved compensated amount rather than being silently reduced by Immense Click’s own promotional choice.

B.6 Refunds, Chargebacks and Post-Settlement Adjustments

Refunds, partial refunds, chargebacks and reversals reduce the applicable NCCR basis. Where one of these is discovered after a Settlement Statement has already issued, Immense Click will make a transparent adjustment in a subsequent Settlement Statement, stating the reason, the transaction reference, the affected period, and the amount, rather than silently debiting the Creator’s bank account.

B.7 Negative Balance

If a post-settlement adjustment produces a negative Creator balance, that balance is carried forward to a future Settlement Statement rather than recovered by an automatic bank debit, unless this Agreement expressly permits another lawful recovery method.

B.8 Settlement

The settlement period is the calendar month. Immense Click’s intended settlement timing is by the 5th of each month for the preceding settlement period, subject to: funds actually being received and settled; fraud and reversal checks; any required KYC or banking details; and any applicable legal or regulatory hold.

What happens when the 5th falls on a weekend or banking holiday has not been decided, and is not invented here: this is an OWNER / LEGAL COUNSEL DECISION REQUIRED item, to be resolved and then stated explicitly in a future version of this Schedule.

B.9 The Settlement Statement

Each Settlement Statement will itemise, without hidden deductions: the settlement period; eligible transactions; gross collected amounts; the tax exclusion; Creator-funded discounts; platform-funded adjustments; refunds; partial refunds; chargebacks and reversals; Net Collected Creator Revenue; the 15% Platform Share; the 85% Creator Share; any other contractually authorised adjustment; the net amount due; its status; and its expected or due date.

B.10 No Payout Infrastructure Today

As of the date this draft was prepared, no payout infrastructure is active and Immense Click’s payment gateways remain frozen from real activation. This Schedule describes how settlement will work once activated; it does not itself activate any payment, payout, tax collection or voucher redemption.

Schedule C. Instructor, Course & Community Standards

A Creator must, in their Community, courses and live sessions:

  • make accurate claims about outcomes, credentials, results and earnings, and not make deceptive earnings claims;
  • act professionally and lawfully, and not engage in discrimination or harassment;
  • own or lawfully licence the intellectual property they upload, and not plagiarise or upload unauthorised copyrighted material;
  • not engage in fraud or deceptive conduct toward Members or Immense Click;
  • not present dangerous or illegal course content;
  • meet reasonable live-session expectations, including showing up for scheduled sessions or promptly rescheduling with notice;
  • maintain reasonable course quality and respond to reasonable Member support requests within the Community;
  • cooperate with Immense Click’s course monitoring and platform review.

Immense Click may take corrective action, up to and including suspension, for a material breach of this Schedule, proportionate to the breach. An editorial preference about course style or presentation is not itself a basis for corrective action, and corrective action under this Schedule is never used to forfeit already-earned Creator Share except as Schedule B and Section 28 expressly allow.

Schedule D. Community / Acceptable Use / Moderation Terms

This Schedule incorporates the platform-wide Community Standards published at immenseclick.com/legal/community-rules, and adds Community-specific rules the Creator may set for their own Community consistent with them.

  • Content removal. Offensive or illegal content may be removed by the Creator as Community moderator, or by Immense Click directly where platform-wide safety requires it.
  • Member safety. Both the Creator and Immense Click share responsibility for Member safety within a Community; Immense Click’s platform-safety authority is overriding and is not limited by a Creator’s own moderation choices.
  • Moderator authority. The Creator, as the operator of their Community, holds day-to-day moderation authority over it, subject to appeal and to Immense Click’s review.
  • Appeal and review. A Member or Creator affected by a moderation decision may request platform review where the existing Community moderation and platform-report processes provide for one.
  • Instructor responsibility for moderation. The Creator is responsible for reasonably moderating their own Community; persistent failure to do so is a ground for the corrective action described in Schedule C.

Schedule E. Data & Privacy Addendum

This Addendum describes only Immense Click’s actual data architecture for ImmenseCommunity, and does not assert a Controller/Processor or Data Fiduciary/Data Processor role without analysing it. Under India’s Digital Personal Data Protection Act, 2023 ("DPDP Act"), Immense Click acts as Data Fiduciary for personal data it collects to operate ImmenseCommunity (determining the purpose and means of that processing), and the Creator, to the extent the Creator independently determines the purpose and means of any processing of Member personal data outside Immense Click’s platform processing, may separately be a Data Fiduciary for that processing — a status this Addendum does not resolve in the abstract and which depends on the Creator’s actual conduct.

The DPDP Act’s foundational and Data Protection Board provisions, and the Digital Personal Data Protection Rules, 2025, are in force; the Act’s substantive data-fiduciary obligations are scheduled to come into force in phases and are not yet fully operative as of the date this draft was prepared. This Addendum is written to align with the DPDP Act’s principles regardless of exactly which provisions are currently in force, consistent with Immense Click’s existing Privacy Policy.

Signing this Agreement is a contract-acceptance action only. It does not subscribe the Creator to marketing email, does not toggle marketing consent, and does not change any analytics or cookie consent the Creator has separately given or withheld. Optional marketing consent remains a separate choice, managed the same way for a Creator as for any other Immense Click account holder.

Member personal data reachable through a Community is handled under Immense Click’s Privacy Policy and Section 14 of this Agreement (Member Data). Network/device evidence collected specifically for contract execution (a hashed IP address and user-agent string) is addressed in Schedule F and is collected only for that purpose, is access-restricted, and is subject to a retention period to be confirmed by the owner and recorded in the legal review checklist referenced at the top of this document.

Schedule F. Electronic Execution Certificate

This Schedule describes the template for the Electronic Execution Certificate issued for every fully executed Agreement; it is not itself a certificate, and no individual Creator’s certificate is published publicly.

F.1 What the Signing Flow Requires

  • An agreement summary and the full Agreement text, available to read and to download/save before signing.
  • The Creator’s Commercial Election clearly shown, including the exact Revenue Share (15% Platform Share / 85% Creator Share) and the NCCR basis it applies to.
  • The settlement language from Schedule B.
  • Required acknowledgement checkboxes, none pre-selected, confirming the Creator has read the Agreement, accepts the Commercial Schedule, understands that Financial Aid / instructor approval is a separate condition, and understands the electronic-signature statement below.
  • The Creator’s typed legal name, and — only if signing for an entity — the entity’s name and the signatory’s title or capacity, with an explicit confirmation that the individual is authorised to bind that entity.
  • Re-authentication of the Creator’s account (password re-authentication, or a one-time code once available) immediately before signing. A typed name alone is never treated as sufficient evidence.

F.2 Electronic Signature Statement

I have read and agree to the ImmenseCommunity Instructor & Creator Agreement and the Commercial Schedule identified above. I intend my electronic action below to constitute my signature and to bind me, or the entity I am authorised to represent, to this Agreement.

F.3 Company Countersignature

A Creator’s signature alone does not activate this Agreement’s commercial rights. Immense Click must also countersign, through a controlled Admin workflow restricted to a narrow, explicitly authorised legal/commercial authority — never an ordinary Instructor, Community moderator, ordinary Admin, Support role, or Finance role acting alone, and never a hardcoded individual’s account.

F.4 Immutable Execution Snapshot and Evidence

Once signed, the exact contractual snapshot (this Agreement text, the Commercial Schedule, and the Creator’s Schedule A entries, each at their approved content hash) becomes immutable and is never edited because a later public version of this document changes; a later version requires a new, separately signed snapshot. Immense Click retains an evidence record for each execution, including: the agreement and commercial-schedule versions and their content hash; the Creator’s account identifier, signatory legal name, represented entity and capacity/title (if any); the acceptance timestamp and authentication method used; a request/audit correlation identifier; the company countersignatory and countersignature timestamp; and the resulting activation status. This record never includes a raw account password or one-time code.

F.5 The Certificate

A completed certificate states: the agreement name and version; the document hash; the Creator signatory (and represented entity, if any); the signature timestamp; the company countersignature and completion timestamp; and an audit/reference identifier. It never includes secret authentication data, a raw session token, a password, or a one-time code. The Creator can download the executed Agreement, Commercial Schedule and this certificate as one coherent, correctly-hashed package once fully executed.

DRAFT — LEGAL REVIEW REQUIRED. This document is not currently signable in Production. See docs/IMMENSECOMMUNITY-INSTRUCTOR-AGREEMENT-LEGAL-REVIEW.md for the full list of items requiring owner or counsel confirmation before this Agreement may be approved and published.
